When engaging KDM & Associates for consulting services, the following additional terms apply:

• Services are provided on a time and materials or fixed-fee basis as agreed in writing
• Payment terms are net 30 days unless otherwise specified in the engagement letter
• Clients are responsible for providing accurate information and timely feedback
• KDM & Associates retains all intellectual property rights to methodologies and frameworks developed
• Client-specific deliverables are owned by the client upon full payment

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, financial information, and other sensitive data. Confidentiality obligations survive the termination of the engagement for a period of three (3) years.

11. Limitation of Liability

Except as otherwise provided in this agreement, neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages.

12. Termination

Either party may terminate an engagement with thirty (30) days written notice. Upon termination, the client shall pay for all services rendered through the termination date.

13. SMS Text Messaging Program

KDM & Associates operates an SMS text messaging program designed to ensure optimal customer support and respond to service-related inquiries. By opting into our SMS program, you agree to receive the following types of messages:

• Service updates and appointment confirmations
• Appointment reminders
• Responses to your service inquiries
• Marketing promotions (only if you provide secondary consent via a separate opt-in)

Opt-Out

You can cancel the SMS service at any time. Just text "STOP" to (202) 469-3423. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed.
